These Terms of Service govern your access to and use of the KNOWS Evaluator Companion Google Workspace Add-on, provided by the KNOWS team. By accessing or using the Add-on, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Add-on. 

1. Description of Service 

The KNOWS Evaluator Companion Google Workspace Add-on is designed to provide annotators with an interface to execute evaluation scripts on Google Workspace applications, including Google Docs, Google Slides and Google Sheets. The primary purpose of this Add-on is to facilitate the testing and evaluation of our evaluation scripts. 

2. Acceptance of Terms

 By accessing and using the Add-on, you represent and warrant that you have read, understood, and agree to be bound by these Terms. If you are using the Add-on on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization to these Terms. In such a case, "you" and "your" will refer to that organization. 

3. User Responsibilities 

A.  Authorized Use: You agree to use the Add-on solely for its intended purpose of testing and evaluating evaluation scripts. Any unauthorized use is strictly prohibited. 

B. Account Security: You are responsible for maintaining the confidentiality of any login credentials associated with your use of the Add-on and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. 

C. Compliance with Laws: You agree to comply with all applicable local, state, national, and international laws and regulations in connection with your use of the Add-on. 

D. Prohibited Conduct: You agree not to: 

•  Use the Add-on for any illegal or unauthorized purpose.  

• Interfere with or disrupt the integrity or performance of the Add-on or the data contained therein. 

• Attempt to gain unauthorized access to the Add-on or its related systems or networks.

• Transmit any viruses, worms, defects, Trojan horses, or any items of a  destructive nature through your use of the Add-on.

•  Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Add-on. 

• Use the Add-on to store or transmit infringing, libelous, or otherwise unlawful or tortious material, or to store or transmit material in violation of third-party privacy rights. 

E. Google Workspace Policies: You acknowledge and agree that your use of the Add-on is also subject to the Google Workspace Terms of Service and any other applicable Google policies. 

4. Intellectual Property 

A. Our Rights: All intellectual property rights in and to the Add-on, including all copyrights, patents, trademarks, trade secrets, and other proprietary rights, are owned by or licensed to the Company. These Terms do not grant you any right, title, or interest in the Add-on or any of its components, except for the A. limited right to use the Add-on in accordance with these Terms. 

B. Your Content: You retain all intellectual property rights in any content you create or submit while using the Add-on within Google Workspace applications. However, you grant us a limited, non-exclusive, royalty-free license to access, use, and process your content as necessary to provide and improve the Add-on and its functionalities. 

5. Disclaimers 

THE ADD-ON IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE ADD-ON WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE MAKE NO WARRANTY REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE ADD-ON OR THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE ADD-ON. 

6. Limitation of Liability 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE ADD-ON. UNDER NO CIRCUMSTANCES WILL THE COMPANY BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE ADD-ON OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN. 

7. Indemnification 

You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (or anyone using your account's) violation of these Terms or your use of the Add-on. 

8. Termination 

We may terminate or suspend your access to the Add-on immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Add-on will immediately cease. 

9. Governing Law 

These Terms shall be governed and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions. 

10. Changes to Terms

 We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Add-on after those revisions become effective, you agree to be bound by the revised terms.
